5d) The Ordinary Shares are freely transferable and there are no restrictions on transfer. However, Epoque Services Incorporated Limited, Howard White, Ben White, Aleksandra Binkowska and Mitchell Field have entered into a lock-in agreement on 25 April 2025. This restricts the disposal of their shares in the Company for 12 months from the date of Admission, subject to certain exceptions. After that period and up to the date falling 24 months after Admission, the locked-in parties will not without the prior consultation with the AQSE Advisor dispose of any interest in their shares.

Michael Heath - Chief Executive Officer and Finance Director

A commercially and operationally focused Chartered Management Accountant with over 10 years of experience in the personal care manufacturing industry. Michael joined Prestige Personal Care in July 2012, where he has developed an in- depth understanding of the business' operations, working closely with key stakeholders across various departments to optimise financial performance and strategic decision-making. Prior to this, Michael held key finance roles at Palfinger AG, a publicly listed Austrian manufacturer of cranes and lifting solutions, where he contributed to the financial management of largescale manufacturing operations. This role allowed him to gain insight into the complexities of global supply chains and international markets. In addition to his experience in manufacturing, Michael worked at Guardian News & Media, a global media organisation. Michael’s academic background, combined with his diverse professional experience, enables him to approach financial challenges with a strong analytical mindset and a strategic outlook. Michael holds a BA (Hons) in Accounting & Finance and is a member of the Chartered Institute of Management Accountants (CIMA).
Aleksandra Binkowska - Non-Executive Chairperson

Aleksandra is a driven entrepreneur and experienced executive with a proven track record of leadership, strategic vision, and governance expertise. She is a founder and CEO of Hydrogen Utopia International PLC, a company listed on The London Stock Exchange, pioneering solutions in plastic waste-to-hydrogen technology. In this capacity, Aleksandra drives and oversees the company’s strategic direction, sets long-term goals, and leads key decision-making processes. Aleksandra also founded the NGO, Plastic Neutrality Pledge on 11 February 2021 which aims to combat plastic pollution through sustainable initiatives, demonstrating her commitment to environmental sustainability by seeking cooperation with private entities. Since 2015, Aleksandra has been a Proxy (similar to the role of a CEO under English law) for Carulac sp. Z.o.o., a Polish transportation company providing bus services to Globus Family of Brands, one of the world's largest tourism operators. Aleksandra studied Political Sciences and Journalism at Warsaw University.
Mitchell Field - Non-Executive Director

Mitchell Field brings over 50 years of experience in the health and beauty manufacturing sector. With a background in psychology, he has played a pivotal role in building and developing sales teams, focusing on strategies to retain and grow the client base. He currently serves as an executive director of Richards & Appleby Limited, a cosmetics and toiletries contract manufacturing company he co-founded. Mitchell also co-founded Prestige Personal Care Limited, another business within the same industry. In 2023, all of the assets of Prestige Care Limited were sold to Epoque Services Incorporated Limited. More recently, namely in December 2023, Mitchell successfully negotiated the acquisition of Pevonia UK Ltd, ensuring continuity of key contractual agreements with its US parent company. Pevonia UK is a spa wellness company with global distributions. Later, in September 2024, he acquired a company owning a premium haircare brand namely, We are Paradoxx Ltd out of liquidation and established a joint venture with Heathcote and Ivory Ltd. Mitchell continues to serve as an executive director on the boards of both Pevonia UK Ltd and We are Paradoxx Ltd. Mitchell is also executive director of two property companies and was a senior nonexecutive director of AFC Energy PLC from 2008 – 2017. Between 1971 – 1975, Mitchell obtained a Bachelor of Science in Psychology and a B -Tech in Psychology from Brunel University in London. He taught Psychology at teachers’ training colleges from 1989 – 1991.
David Battle - Independent Non-Executive Director

David Battle is currently an advisor introducing smaller companies to the UK capital market and suitable potential fundraising partners with the aim of assisting small companies achieving their short to medium term growth goals. With extensive experience in smaller company capital markets, David has a deep understanding of the role and expectations of an independent non-executive director, particularly in terms of governance and strategic oversight. David has been working in UK capital markets for smaller companies for 10 years, 5 of which were served as Managing Director responsible for the business and market development of NEX Exchange (Aquis predecessor) until 2019. In a career spanning over 30 years based in The City of London, David was previously senior VP and Chief Representative for The Singapore Stock Exchange in Europe and North America. He also held the position of Managing Director at Deutsche Bank Global Markets with global responsibility for sales and client relationships in futures and options broking. In his formative years he worked his way up through sales to become Managing Director and board member of Rolfe & Nolan Plc, formerly listed on the London Stock Exchange.
